Modern Slavery Act Statement

Introduction

This statement is made pursuant to section 54(1) of the Modern Slavery Act 2015 (the “Modern Slavery Act”). It sets out the steps that LiveU group companies (“LiveU” or the “Company”), have taken to seek to ensure that modern slavery and human trafficking are not taking place in our business and supply chains during the financial year ended December 31, 2024.

Organization’s Structure

LiveU offers end-to-end solutions for all types of live video productions. The Company’s portfolio ranges from portable production-level field units and smartphone apps connected to cellular/Wi-Fi/satellite hybrid solutions for video contribution and cloud-based system management, content management, production and distribution platforms. LiveU operates its business through multiple companies, including in the UK, France, USA, Japan, Australia and Israel.

This Statement applies to all LiveU group companies globally.

Supply Chain

In connection with our business activities, LiveU engages external parties to provide various services such as professional services globally. Furthermore, we procure various materials, commodities and components from both direct and indirect suppliers worldwide.

Measures to Address Modern Slavery and Human Trafficking

LiveU’s Modern Slavery and Human Trafficking Policy (the “Policy”) seeks to identify and manage modern slavery-related risks in our business and supply chains. In implementing this Policy during the financial year, we have undertaken the following steps:

  • Where possible, continued to communicate our expectations to key suppliers and business partners regarding compliance with anti-slavery legislation and ethical standards.
  • Maintained our commitment to lawful and ethical recruitment practices, ensuring all employment contracts reflect applicable labor laws and that recruitment processes are transparent.
  • Engaged with employment agencies and third-party employment providers to ensure they uphold our commitment to preventing slavery, forced labour, and human trafficking.
  • Established clear reporting procedures with designated contacts for addressing concerns related to modern slavery.

The Policy applies to all directors, officers and employees of the Company and any person and organisations having a working relationship with the Company. Each of the Company’s directors, officers and employees is expected to comply with the Policy.

The Company partners, distributors, resellers, consultants, and suppliers are expected to adhere to the principles of the Policy. Furthermore, LiveU has a “Code of Business Conduct” (the “Code”), which provides a comprehensive framework for proper business practices and ethical conduct. The Code applies to all directors, officers, employees, and anyone with a working relationship with LiveU.

Implementation

Our Operations and Procurement, Human Resources, Legal and Finance teams work together to implement the objectives considered in this statement and the Policy and consider ongoing enhancements to the processes and controls in place.

Effectiveness

We continue to monitor our compliance with this Statement and our Policy in various ways, including, ongoing awareness of our employees, and encouraging our partners to adhere to such policies in their businesses.

Employee Awareness and Communication

The Policy is made available to employees to promote awareness of the importance of implementing and enforcing effective systems in an effort to ensure slavery and human trafficking is not taking place anywhere within LiveU or in our supply chain.

Ongoing Monitoring

If issues are identified in relation to modern slavery, these will be dealt with by the Chief Operating Officer or the Chief HR Officer (as applicable) or as otherwise specified by applicable LiveU policies and procedures.

This Statement is reviewed annually. This Statement was approved by the Board of Directors of LiveU on June 26, 2025 and signed on its behalf by Samuel Wasserman, Director and CEO.
